Terms of Service

Welcome to HelpVote. These Terms of Service ("Terms") govern your use of the HelpVote mobile application and website (together, the "Service"), operated by HORSX Holdings LLC ("we," "us," or "our").

By creating an account or using HelpVote, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use HelpVote. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you must have parental or guardian consent.

2. Your Account

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You agree to provide accurate and complete information when creating your account.
• You may not create more than one account per person.
• You must notify us immediately if you suspect unauthorized use of your account.

3. Acceptable Use

You agree to use HelpVote only for its intended purpose: community-driven visual voting and sharing. You agree not to:

• Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Post sexually explicit or violent content.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Upload content that infringes any patent, trademark, copyright, trade secret, or other intellectual property right of any party.
• Attempt to manipulate votes, ratings, or community systems through fake accounts, bots, or coordinated behavior.
• Harass, bully, intimidate, or threaten other users.
• Collect or store personal data about other users without their consent.
• Use the Service for any commercial purpose, advertising, or spam without our written permission.
• Interfere with or disrupt the Service's infrastructure, servers, or networks.
• Reverse-engineer, decompile, or disassemble any part of the Service.

4. User Content

Ownership: You retain full ownership of the content you post on HelpVote (photos, comments, votes). We do not claim ownership of your content.

License to Us: By posting content, you grant HORSX Holdings LLC a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, and distribute your content solely for the purpose of operating and improving the Service. This license ends when you delete your content or account.

Responsibility: You are solely responsible for the content you post. You represent that you have all necessary rights to share any content you upload, including photos of property, people, or products.

Content Moderation: We reserve the right to review, remove, or disable access to any content that violates these Terms, without prior notice. We may also suspend or terminate accounts that repeatedly violate these Terms.

5. Community Guidelines

HelpVote is a supportive community. We expect all users to:

• Be respectful and constructive in comments and interactions.
• Vote honestly based on their genuine opinion.
• Report content that violates these Terms using the in-app reporting feature.
• Respect the privacy of others — do not share personal information about other users outside the App.

6. Intellectual Property

The HelpVote name, logo, design, and all related trademarks, service marks, and trade names are the property of HORSX Holdings LLC. The App's code, design, graphics, and user interface are protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

7. Third-Party Services

HelpVote integrates with third-party services including Google Firebase (authentication, database, analytics) and sign-in providers (Google, Apple). Your use of these services is governed by their respective terms and privacy policies. We are not responsible for third-party services.

8. Termination

By You: You may delete your account at any time from Profile > Settings > Delete Account. Upon deletion, all your personal data, posts, votes, and comments will be permanently removed within 30 days.

By Us: We may suspend or terminate your account, without prior notice, if you:

• Violate these Terms of Service
• Engage in fraud, abuse, or manipulation
• Are reported by multiple community members for harmful behavior
• Create multiple accounts to circumvent enforcement actions

Upon termination, your right to use the Service ceases immediately.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from using the Service will be accurate or reliable.
• Any design decisions made based on community votes will produce the desired outcome.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HORSX HOLDINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless HORSX Holdings LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you post on the Service

12. Dispute Resolution

Governing Law: These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Informal Resolution: Before filing any claim, you agree to first contact us at support@helpvote.app and attempt to resolve the dispute informally for at least 30 days.

Arbitration: If informal resolution fails, any dispute shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA). The arbitration shall take place in Cheyenne, Wyoming, or remotely at the arbitrator's discretion.

Class Action Waiver: You agree to resolve disputes individually. You waive the right to participate in a class action, class arbitration, or representative proceeding.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, please stop using the Service.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HORSX Holdings LLC regarding your use of HelpVote, and supersede all prior agreements.
